Registration of non-profit organizations

A non-profit organization (NPO) is a legal entity which activities are not related to profit earning. NPOs are established to pursue goals in the area of sport, medicine, education, culture, charity, politics, science, and other social areas.

The following types of NPOs may be distinguished:

  • consumers’ co-operatives;
  • non-governmental organizations;
  • social movements;
  • associations (unions);
  • foundations;
  • institutions;
  • autonomous non-profit organizations;
  • homeowners associations (a new business legal structure in Russian law);
  • lawyers’ chambers;
  • lawyers’ associations with a status of a legal entity;
  • religious organizations;
  • the Kozaks’ associations;
  • indigenous communities.

The registration procedure takes 1–1.5 months.

Fee for NPO registration starts from RUB 45,000 and depends on the selected type of entity.

Non-profit organizations may be reorganized in the following ways:

  • consolidation is when non-profit organizations of similar legal structure joint to form a new NPO;
  • merger is a way of reorganization when a NPO joints with another one; such type of reorganization may be applied only with NPOs of the same legal structure;
  • split-off is a type of reorganization that results in a split-off of a NPO to several other entities. Such type of reorganization may be applied only with NPOs of the same legal structure;
  • spin-off is a type or reorganization when a new NPO is formed that has the same legal structure as the existing one, while both organizations continue operation;
  • restructuring is a type of reorganization that results in formation of a new NPO of another legal structure.

In all types of reorganization, rights and duties pass as the universal succession.

If NPO is liquidated by a resolution of its members or body, the liquidation procedure may be divided in several stages:

  • Notification of the started liquidation procedure of government authorities, appointment of a liquidation committee (liquidator), and determination of the liquidation term;
  • Notification of the liquidation of NPO’s creditors and counterparties, publication of a passed resolution on liquidating the NPO in special mass media;
  • Preparation of interim liquidation balance sheet and its registration;
  • Settlements with creditors, reconciliation and settlements with local tax authorities and non-budgetary funds.;
  • Preparation of a liquidation balance sheet and registration of NPO cessation.
